Who can invest in PropFTX?

With PropFTX, anyone can become a fractional real estate investor. Whether you are an individual, a company, or an institution, you can invest with PropFTX. The only requirement is that you should have a valid ID issued by the Government of India (Aadhar Card/Voter ID or Pancard).

What is the Investment Structure?

PropFTX structures investments in a manner that ensures transparency and efficiency. For each asset, we establish a Specific Purpose Vehicle (SPV), which is a legal entity created solely for the purpose of owning and managing the asset. Investors become shareholders in the SPV, with their ownership proportionate to their contribution to the asset. PropFTX's asset management company takes on the responsibility of managing the SPV and the underlying asset on behalf of the investors. The SPV typically takes the form of a private limited company, and each investor's stake is represented by digital tokens.

When I invest in deals on PropFTX, what do I own?

Customer owns a token digitally backed by property which is equilavent to a share of the SPV where SPV owns the property and each investor is a shareholder in SPV , PropFTX issue a investment agreement within 24 hrs.

How to Liquidate the Investment?

At PropFTX, we understand that flexibility is essential for our investors. To liquidate your investment you can sell the token via resale:

Resale: After an initial holding period of 150 days, a resale window opens. During this period, you can list your tokens at the prevailing market price. The market price is determined by our AI-driven valuation, providing a fair and market-driven exit strategy. Alternatively, you can list your tokens at a specific limit price. This allows you to set a price at which you're willing to sell, and interested buyers can acquire your tokens at this designated price. This method provides control and certainty over your investment liquidation.

The money you invest is safe with PropFTX as it is deposited into the Escrow Account (Escrow partner: Vouch - they use the secured banking escrow service of ICICI bank). At PropFTX, we strictly follow security audits and compliance audits, which are done on a regular basis.

What is the minimum investment requirement?

PropFTX offers investors flexibility in property investment, allowing them to set their own investment goals and manage investment costs based on factors like property size and market value, without a set minimum investment amount.

Do I get any guarantee on my returns?

It's important to remember that fractional real estate returns can vary based on market conditions, and they are not guaranteed. Like any investment, it carries some level of risk. We always advise our investors to approach real estate investments with careful consideration and a diversified portfolio strategy to manage those risks effectively.

What are the different fees I am required to pay?

As an investor you have to pay platform handling fee i.e. 2.5% + GST while purchasing a token.

Is Fractional Ownership Safe?

Fractional Ownership is a safe medium to co-invest in a real estate asset. With the new SEBI rules related to SM REITs, Fractional Ownership is becoming a secure way for small retail investors as well as high-networth individuals.

What will happen to my investments when something goes wrong?

The outcome depends on the situation. If your account is compromised due to hacking, the responsibility falls on the investor. However, if an issue arises due to the company's actions, your investment information is securely recorded on the blockchain ledger, providing a transparent and immutable record of your holdings. It is essential to make sure you keep your PropFTX account details secure with you.

Do we gain direct possession of the assets?

Can we give others our ownership? Certainly! As a fractional owner, you will obtain a proportionate ownership in the form of shares in the private limited company in which the asset is registered. These shares can be exchanged on our platform with other investors in the same way that they would on a stock exchange.

What is Fractional Ownership?

Fractional ownership is a co-ownership model where multiple individuals or investors collectively own a portion (or fraction) of an asset, such as real estate. PropFTX conducts the required legal due diligence of every property before listing it over the marketplace. We handle all legal matters pertaining to investments and real estate. What is an SPV, How does it work?

A Special purpose vehicle is a legal entity created under the Companies Act 2013 for a specific purpose. In the case of PropFTX, the investment will be owned by an SPV, which will be a private limited company set up for this purpose.

How will capital gains taxation be applied to the investors in India over the investment in token of a property?

The taxation on capital gains for investors in India will depend on the holding period of the investment. If the investment is held for less than 2 years, it will be considered a short-term capital gain and taxed at the applicable income tax rate. If the investment is held for more than 2 years, it will be considered a long-term capital gain and taxed at a flat rate of 20% with indexation benefits. However, we recommend you to consult your tax advisor for detailed information for your particular situation.

Can NRI invest? What taxes NRIs need to pay?

PropFTX opens up real estate tokenization for Non-Resident Indians (NRIs), in accordance with Foreign Exchange Management Act (FEMA) regulations. NRIs can invest non-repatriably or repatriably, with certain conditions for repatriation. Tax obligations, including capital gains, apply to their Indian income, and adherence to local tax rules may be necessary. To facilitate their investments, NRIs should possess an Aadhar Card, a valid voter ID, an Indian Passport, a PAN Card, and an Indian Bank account.

Is there any GST an investor has to give?

Investors are required to pay GST only on the platform fee, not on the tokens themselves
